Seven Months Between Seats
Keurig Dr Pepper ended two of Sudhanshu Priyadarshi's titles in one sentence in November 2025. Planet Fitness has now handed him both of them back.

On November 25, 2025, Keurig Dr Pepper filed a Form 8-K naming Anthony DiSilvestro chief financial officer, effective that day. The next sentence disposed of the man he replaced. Sudhanshu Priyadarshi, the company's chief financial officer and president, international, was no longer serving in those roles as of the same date.
Two titles, ended in one clause.
He stayed on as a senior advisor through April 7, 2026, under a transition, separation and release agreement: severance under the company's executive severance plan, pro-rata vesting of his outstanding equity awards, and an advisory services fee of up to $500,000. He had arrived three years earlier at a company with annual revenue approaching $13 billion and roughly 27,000 employees.
Seven months after the advisory period ran out, Planet Fitness handed him the identical pair of titles.
Five Finance Seats, Eight Years
Priyadarshi's career is unusual less for its altitude than for its turnover. Fourteen years at PepsiCo across finance, strategy, operations and corporate development, ending as chief financial officer of Global R&D and PepsiCo Global Nutrition Platforms. Then global chief operating officer of Cipla, running 14,000 employees across 80 countries and executing more than 20 acquisitions. Then Walmart, first as vice president of finance and strategy for the $100 billion General Merchandise and Softlines division, then for the U.S. eCommerce business. Then chief financial officer of Flexport, the freight forwarder, from 2018 to 2019.
Four employers in the four years to 2020, and the fifth seat came with a pandemic attached.
April 2020, Effective Immediately
Vista Outdoor announced him as senior vice president and chief financial officer on April 27, 2020, effective that day. It announced him inside a release whose first business was the coronavirus: an update on operations and liquidity, a warning of a coming non-cash impairment charge against goodwill and trade names, and the disclosure that the company expected to enter fiscal 2021 with more than $150 million of availability under its asset-based revolver. Thousands of its employees were still coming to work because the government had designated their operations essential.
His statement that day was one sentence long. "I am honored to join Vista Outdoor as its new Chief Financial Officer and look forward to partnering with Chris and the leadership team as we enter in to our next phase of growth", he said.
The next phase turned out to be the good one. Over two and a half years the company closed nine acquisitions and, on Planet Fitness's own later accounting of his record, drove a sixfold increase in EBITDA. By the time he left, Vista Outdoor was preparing to split its Outdoor Products and Sporting Products segments into two public companies.
Two Releases, One Day
October 24, 2022 produced a matched pair of filings.
Vista Outdoor issued a release headlined with his departure and, in the same document, its preliminary second-quarter results: sales of roughly $782 million, an adjusted EBIT margin near 18 percent, adjusted earnings per share of about $1.71. Andrew Keegan, the vice president of finance and treasury, was named interim chief financial officer while a formal search ran.
"This was not an easy decision, but as I pursue this next opportunity, I am excited about the strong financial position that I leave Vista Outdoor in", Priyadarshi said in it.
Hours of the same day, Keurig Dr Pepper named him chief financial officer, effective November 14. He would report to chief executive Ozan Dokmecioglu and lead both the finance and information technology organisations. His promise there ran to cash: "I look forward to working closely with Ozan and the entire executive team to continue driving organic growth while pursuing opportunities to deliver above-plan value creation through strategic allocation of KDP's industry-leading free cash flow generation."
In November 2023 the company added president, international to the title. Two years after that, the November filing took both away.
What The Offer Letter Says
Planet Fitness appointed him on June 25, 2026, effective immediately, at 49. Tom Fitzgerald, who had held the seat on an interim basis, stayed as an advisor until mid-September. The mandate is broader than finance: he oversees finance, investor relations, strategy and information technology, and runs the international business as its president.
The offer letter, filed as an exhibit, is specific. Base salary of $900,000. An annual cash bonus targeted at 115 percent of that. A new-hire restricted stock unit award with a target grant-date value of $3,000,000, vesting in three equal instalments. A 2026 long-term incentive award targeted at $4,000,000, split evenly between restricted stock units and performance share units. Relocation to the Boston area, reimbursed, provided he moves by December 31, 2028 - with travel between California and Massachusetts covered until September 2028 and $7,500 a month in temporary housing for up to six months.
Three years to move house. The equity vests faster than that.
What he is being paid to manage is not a manufacturer. As of March 31, 2026, Planet Fitness counted approximately 21.5 million members and 2,909 clubs across all 50 states, the District of Columbia, Puerto Rico, Canada, Panama, Mexico, Australia and Spain - and roughly 90 percent of those clubs belong to independent franchisees. The international business he now runs is the part of that map with the most white space and the least of it built.
His own framing was narrow and operational: "I look forward to serving as CFO and leading the international business as we look to expand the Company's reach and drive sustainable growth and value-creation."
A physics graduate of Tilka Manjhi Bhagalpur University with an MBA in finance from the University of Technology Sydney, he also sits on the board of Wabash National.
On August 6, 2026, six weeks into the job, he signed the Section 302 certification on Planet Fitness's quarterly report as principal financial officer. It is the same signature block that ended abruptly at Keurig Dr Pepper nine months earlier. This time the question is not how the tenure closes. It is whether the international map gets filled in before the relocation deadline arrives.
