Two Names, in Order of Preference

Anup Bagchi spent more than three decades inside ICICI. On October 27 he takes over HDFC Bank's ₹45,778 billion balance sheet, with growth the open question.

At 3:30 p.m. on Tuesday, October 13, 2026, Anup Bagchi, managing director and chief executive of ICICI Life Insurance, opened his company's half-year results call. The numbers were strong: value of new business up 22.3 percent to ₹12.83 billion. They were not the news. His resignation took effect at the close of business that same day, and he used his opening remarks to say goodbye.

"As my tenure as MD and CEO comes to an end today, I want to sincerely thank each one of you for the trust and support you have extended to me, not just at ICICI Life, but also over more than three decades with the ICICI Group."

Fourteen days later, on October 27, he takes the top job at HDFC Bank.

The scale of the move sits in the bank's own September 30 figures: a balance sheet of ₹45,778 billion, 9,706 branches, 2,10,109 employees. The Reserve Bank of India has approved him for a three-year term running to October 26, 2029. Since October 2 he has sat on the board as an additional director, a few weeks away from the chair.

Two Names, One Order

The sequence opened on September 12. HDFC Bank's board, meeting that day, approved the appointment of its next managing director and chief executive by "submitting the names of two candidates in order of preference" to the RBI. It named neither in public. At the same meeting it created a fourth whole-time director seat, to be filled in consultation with the new chief executive "after he/she takes charge of the position." The bank had built a seat for a leader it had not yet named.

Nineteen days passed.

On October 1 the RBI approved Bagchi. The same date sits on a one-paragraph letter he addressed to the board of ICICI Life, resigning "as I wish to pursue a new career opportunity outside the organization." ICICI Life's board took the letter on record the next day and named Sidharatha Mishra, an ICICI Bank executive with more than 26 years in banking, as chief operating officer from October 6 and as Bagchi's successor. ICICI Bank told U.S. investors the same thing in a Form 6-K that week. Sashidhar Jagdishan, HDFC Bank's chief executive, completes his tenure at the close of business on October 26.

Thirty-Four Years, One Group

The career he carries across sits inside a single group. Bagchi joined the ICICI Group in 1992 and worked in retail banking, corporate banking and treasury. He ran ICICI Securities as managing director and chief executive, where ICICI Bank credited him with growing the retail broking, product distribution and wealth businesses. On October 14, 2016, the ICICI Bank board named him an executive director to head retail, effective February 1, 2017, subject to the RBI.

As executive director from 2017 to 2023 he oversaw retail, business and rural banking, and later wholesale banking. HDFC Bank's own profile of its new chief says that in those years ICICI Bank became the first private-sector bank in India to pass ₹2 trillion in retail mortgages. He holds an engineering degree from the Indian Institute of Technology, Kanpur, and a management degree from the Indian Institute of Management, Bangalore.

In March 2023 he resigned from the bank's board, effective April 30, to cross to the group's listed life insurer: executive director and chief operating officer from May 1, managing director and chief executive from June 19. In his first full fiscal year there, HDFC Bank's profile records, annualised premium equivalent crossed ₹10,000 crore for the first time, rising 15 percent to ₹10,407 crore, while profit after tax rose nearly 40 percent to ₹1,189 crore.

The Growth He Conceded

Then the line went flat.

On April 14, 2026, presenting fiscal 2026, Bagchi led with profitability: value of new business up 10.9 percent to ₹26.29 billion, margin up to 24.7 percent from 22.8 percent, profit after tax up 34.6 percent to ₹16 billion. But in savings, he told analysts that annualised premium equivalent had held at the prior year's level. An analyst pressed him: retail growth over two to three years had not been strong, and the agency channel's share had been falling. Was cost-cutting to blame? Bagchi said cost optimisation was not standing in the way of growth, and he did not dress up the rest.

"There are base effects," he said, and on a two-year view the company was behind: "even if you look at two years CAGR, we are slightly behind, but we do have to catch up." He drew the line on what he would chase. "I understand the sentiment that we have to do more growth, but our focus, like we have always said is absolute VNB."

The agency channel was the sore spot. "I think agency channels, we have had some large base effect two years back." Then: "So hopefully, it will come back sooner than we think."

The next two quarters answered part of it. Value of new business rose 24.9 percent in the June quarter and 22.3 percent across the half, with margins of 26.7 and 26.0 percent. Agency was slower: up 3.3 percent for the half. Non-linked savings fell 4.5 percent.

The Name Changed First

There was one more turn. On July 6 the insurer's board approved a new name, ICICI Life Insurance Limited, after Prudential's holding company asked to change its status from promoter to investor. On July 15 Bagchi told analysts: "The proposed name reflects the strength, trust and legacy associated with the ICICI franchise." The new name took legal effect on September 22. Nine days later he wrote his resignation. The ticker switches to ICICILIFE on October 23, by which point he will be four days from a desk at another bank.

His letter promised continuity on the way out: "I remain committed to supporting the transition in every possible way and ensuring that all responsibilities are handed over smoothly."

What Waits At Hdfc

The bank he inherits reported its half-year on October 17, in a filing signed by Jagdishan. Profit after tax rose 4.8 percent to ₹385.7 billion. Net revenues fell to ₹948.1 billion from ₹990.7 billion a year earlier. Headcount stood at 2,10,109, down from 2,20,339. The same filing notes that the bank's Dubai International Financial Centre branch remains under a September 2025 order from the Dubai Financial Services Authority barring it from taking on new clients for specified services; the bank describes that business as not material.

Also waiting: the fourth whole-time director seat, still empty, designed in September to be filled after the new chief takes charge.

On October 13 he opened his last results call at ICICI and handed it to his successor. The next results call he opens will carry HDFC Bank's name, and the growth question he answered for an insurer in April will be asked of a ₹45,778 billion balance sheet.
