Three Exchanges, Then 2033
Ajay Gopal took The RealReal's CFO seat with vesting hurdles far above the share price. Three debt exchanges and a refinancing later, the maturities run to 2033.

The offer letter was dated February 19, 2024. It gave Ajay Gopal a base salary of $500,000, a $300,000 signing bonus and 550,000 performance stock units that would vest only if The RealReal's shares reached $5.00, $7.50, $10.00 and $15.00, measured over sixty trading days, across four years. Nine days later, on February 28, the stock closed at $1.71.
That was the price The RealReal used the next morning to strike warrants on 7,894,737 shares, handed to bondholders in a debt exchange that Gopal, officially, had nothing to do with. He did not start as chief financial officer until March 18, 2024.
He inherited the consequences anyway.
The Exchange He Walked Into
On February 29, 2024, The RealReal reported its 2023 results: a net loss of $168 million, adjusted EBITDA of negative $55.2 million and, in the fourth quarter, the first positive adjusted EBITDA and free cash flow since the 2019 IPO. The same release announced that holders of $145.8 million of 3.00 percent convertible notes due 2025 and $6.5 million of 1.00 percent notes due 2028 had swapped them for $135 million of new 4.25%/8.75% PIK/cash senior secured notes due 2029, plus the warrants at $1.71. Total indebtedness fell by more than $17 million. The maturity wall had moved, not disappeared.
Gopal's assignment, in the words of chief executive John Koryl when the hire was announced on February 21, was to help the company in "its drive toward profitability." Gopal's own line that day was about the market, not the balance sheet: "Over the past few years, resale has gained significant momentum and attention from consumers as well as investors."
The investors were about to be asked a harder question: whether the numbers would come before the notes did.
Twenty To Thirty, Then Forty-Two
On February 10, 2025, Gopal put his name to a forecast. "For full year 2025, we expect Adjusted EBITDA in the range of $20M to $30M, which demonstrates the power of this business model as we scale," he said in the preliminary results release. Full-year 2024 adjusted EBITDA had come in at $9.0 million to $9.5 million on $1.829 billion of gross merchandise value, above the guidance the company had given.
The same day the company closed a second exchange: $183.3 million of the 2028 convertible notes swapped for $146.7 million of new 4.00 percent convertible notes due 2031, cutting indebtedness by roughly $37 million. On August 21, 2025, an add-on exchange moved another $49.5 million of 2028 notes into the 2031 class, which grew to $190.1 million and left less than $50 million of 2028 paper outstanding. Gopal signed that filing himself.
Then the year arrived. On February 26, 2026, The RealReal reported 2025 gross merchandise value of $2.13 billion, up 16 percent, revenue of $693 million and adjusted EBITDA of $42 million, well clear of the $20 million to $30 million range Gopal had set twelve months earlier. Operating cash flow was $37 million. Free cash flow turned positive at $5 million.
By August 6, 2026, the second quarter had produced a record $617 million of GMV, up 22 percent, and the company raised full-year adjusted EBITDA guidance to $66 million to $69 million.
The Cost Of The Rescue
The numbers that improved fastest are not the only numbers in the filings. Net loss for 2025 was still $42 million, and the company attributed $36 million of it to the change in fair value of the warrant liability: the warrants struck at $1.71 in February 2024. As the business recovered, the accounting cost of having been rescued at $1.71 rose with it. At June 30, 2026, the warrant liability stood at $74.7 million, alongside $231.5 million of convertible notes and $144.3 million of non-convertible notes, net.
Cash, cash equivalents and restricted cash, $191 million at the end of 2023, were $133.9 million at the end of June 2026. The deleveraging was real. It was also being paid for.
From 2029 To 2033
On October 9, 2026, The RealReal signed a credit agreement with Fortress Credit Corp. Announced six days later, it provides a $150 million senior secured term loan and a $25 million revolving facility, initially priced at SOFR plus 5.75 percent and payable entirely in cash, maturing in October 2033. The proceeds redeem, at par, all of the 2029 notes created in the exchange Gopal walked into. Funding was expected on or about October 19, 2026.
"This refinancing represents a key milestone in our plan to strengthen our balance sheet. Over the last two years, we have successfully lowered our total debt by more than $80M," Gopal said. The company's own tally in August 2025 had put the reduction since the start of 2024 at more than $86 million.
He framed what comes next as arithmetic rather than ambition: a model that, in his words, "translates Adjusted EBITDA growth into robust cash flows," and a plan "to continue deleveraging in the years ahead."
The secured maturity has moved four years out. The 2031 convertibles remain, as does the stub of 2028 notes below $50 million. The warrants remain too.
Gopal's career before this seat was a sequence of finance chairs at companies in motion: StubHub, where the appointment release says revenue passed $1 billion and the footprint went from four countries to more than 45; Helix; Good Eggs; Outside Interactive. None of them handed him a maturity wall on his first day.
The hurdles in his offer letter were written down in February 2024 at $5.00, $7.50, $10.00 and $15.00. The refinancing has moved the debt clock to 2033. The equity clock, the one he was hired on, keeps its own time.
